LICENSED APPLICATION END USER LICENSE AGREEMENT FOR STYLAIME

This Licensed Application End User License Agreement ("EULA") is a binding agreement between you ("End User" or "you") and Stylaime ("Licensor"). This EULA governs your use of the Stylaime application and related services (collectively, the "Licensed Application").

1. ACCEPTANCE AND SCOPE OF LICENSE

By downloading, accessing, or using the Licensed Application, you accept and agree to be bound by the terms of this EULA. If you do not agree to these terms, you must not use the Licensed Application. Licensor grants you a non-transferable, non-exclusive license to use the Licensed Application on any Apple-branded products that you own or control, subject to the Usage Rules set forth in the App Store Terms of Service. You may not:

  • • Distribute or make the Licensed Application available over a network
  • • Transfer, redistribute, or sublicense the Licensed Application
  • • Copy, reverse-engineer, disassemble, or modify the Licensed Application
  • • Create derivative works of the Licensed Application

2. ACCOUNT AND SERVICES

2.1 Account Registration

To use certain features of the Licensed Application, you must create an account by providing a valid email address and password. You are responsible for:

  • • Maintaining the confidentiality of your login credentials
  • • Removing the Licensed Application from your device before selling it to a third party

2.2 Services Description

The Licensed Application provides an AI-powered personal style assistant that enables users to:

  • • Add clothing, accessories, and other items to their digital wardrobe
  • • Receive fashion and style recommendations
  • • Store wardrobe items on cloud servers
  • • Make style-related queries, with responses stored locally on the device

2.3 Premium Subscription and Usage Limitations

The Licensed Application offers Premium subscription options available on monthly or yearly payment plans. Premium subscribers are subject to certain usage limitations, which may be modified by Licensor at its sole discretion. Current Premium subscription usage limitations include, but are not limited to:

  • • A maximum of fifty (50) items may be added to the digital wardrobe per calendar month, per account.
  • • Virtual try-on feature is limited to twenty-five (25) image generations per calendar month, per account.
  • • AI style assistant interactions are limited to one hundred (100) queries in total per calendar month, per account.

Licensor reserves the right to:

  • • Modify these usage limitations at any time
  • • Implement additional usage restrictions on any features
  • • Adjust or amend Premium subscription benefits
  • • Temporarily suspend or permanently terminate access to Premium features in case of violation of these terms

The above limitations apply regardless of subscription status or payment plan. Unused monthly allowances do not roll over to subsequent months.

3. DATA AND PRIVACY

3.1 Consent to Use of Data

You agree that Licensor may collect and use technical data and related information, including but not limited to:

  • • Technical information about your device
  • • System and application software
  • • Peripherals
  • • Usage patterns and preferences

This information may be gathered periodically to facilitate:

  • • Software updates
  • • Product support
  • • Service improvements
  • • Other services related to the Licensed Application

3.2 Privacy Protection

Licensor will use collected information in accordance with its Privacy Policy, provided that such information is maintained in a form that does not personally identify you.

4. INTELLECTUAL PROPERTY AND PROHIBITED ACTIVITIES

4.1 Intellectual Property Rights

All content, trademarks, logos, and other intellectual property displayed in the Licensed Application are owned by Licensor or its licensors. You may not:

  • • Copy, modify, or distribute any content without prior written permission
  • • Use the Licensed Application's content for commercial purposes

4.2 Prohibited Activities

You agree not to:

  • • Misuse or interfere with the Licensed Application's operation
  • • Upload or share unlawful, harmful, or abusive content
  • • Attempt to reverse-engineer or hack any part of the Licensed Application
  • • Impersonate others or provide inaccurate information
  • • Use the Licensed Application for any purposes prohibited by United States law

5. EXTERNAL SERVICES

The Licensed Application may provide access to external services and websites. You acknowledge and agree that:

  • • Use of external services is at your sole risk
  • • Licensor is not responsible for third-party content or services
  • • Licensor may restrict or disable access to external services at any time
  • • You will not use external services to harass, abuse, or defame others

6. WARRANTY DISCLAIMER AND LIABILITY LIMITATIONS

6.1 No Warranty

THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • • MERCHANTABILITY
  • • FITNESS FOR A PARTICULAR PURPOSE
  • • ACCURACY
  • • NON-INFRINGEMENT
  • • RELIABILITY OF STYLE ADVICE

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • • Licensor shall not be liable for personal injury or any incidental, special, indirect, or consequential damages.
  • • Total liability for all damages shall not exceed fifty dollars ($50.00).
  • • Licensor is not liable for damages arising from:
    • - Loss of profits
    • - Loss of data
    • - Business interruption
    • - Use or inability to use the Licensed Application

7. TERMINATION AND GOVERNING LAW

7.1 Termination

This EULA is effective until terminated. Your rights will terminate automatically if you fail to comply with any terms. Licensor reserves the right to terminate or suspend your account at any time for violations of this EULA.

7.2 Governing Law

For U.S. users: This Agreement is governed by California law, with exclusive jurisdiction in Santa Clara County.

For EU citizens, Switzerland, Norway, or Iceland: The governing law and forum shall be the laws and courts of your usual place of residence.

The UN Convention on the International Sale of Goods is explicitly excluded.

8. CHANGES TO EULA

Licensor may update this EULA from time to time. Material changes will be communicated through the Licensed Application or via email. Continued use constitutes acceptance of any revised terms.
